Delay to publication of audited accounts and temporary suspension of listings

Notting Hill Genesis (the Issuer) has issued each of the following:

(a) £250,000,000 2.875 per cent. Secured Bonds due 2029;

(b) £400,000,000 3.25 per cent. Secured Bonds due 2048;

(c) £250,000,000 4.375 per cent. Secured Bonds due 2054;

(d) £350,000,000 3.75 per cent. Secured Bonds due 2032; and

(e) £300,000,000 5.25 per cent. Secured Bonds due 2042,

(the Main Market Bonds); and

(a) £250,000,000 2.000 per cent. Secured Sustainability Notes due 2036; and

(b) £250,000,000 6.00 per cent. Secured Sustainability Notes due 2035,

each issued under the £2,000,000,000 Secured Note Programme of the Issuer (the ISM Bonds).

The Conditions of each of the Main Market Bonds and the ISM Bonds include a requirement for the Issuer to provide to M&G Trustee Company Limited (the Bond Trustee) a copy of its own and its consolidated financial statements for each financial year within 180 days of the end of such financial year.

The Issuer is currently finalising the statements for its financial year ended 31 March 2026 (the 2026 Financial Statements). The Issuer has experienced a series of internal delays within the finance function regarding the supply of information to its auditors, which has placed pressure on the audit process. As a result, there will be a short delay to completion, subject to concluding final validation checks and approvals, that will extend past the deadline of 27 September 2026.

The Issuer is working closely with its auditors to complete the audit as soon as practicable and expects to publish the 2026 Financial Statements during October 2026. The Issuer does not believe there are any significant issues affecting the Group's consolidated financial statements and reiterates the performance as set out in the FY26 unaudited trading update published on 30 July 2026.  The Issuer confirms that, to the best of its knowledge and belief, there is no reason to believe that the 2026 Financial Statements will be subject to any audit qualification and the draft 2026 Financial Statements do not contain any non-public, price sensitive information about the Issuer.

The Issuer has sought, and obtained, the consent of the Bond Trustee to postpone such requirement no later than 27 October 2026.

As a result of the delay and in accordance with the Listing Rules, the Issuer will apply to the Financial Conduct Authority for the listing of the Main Market Bonds to be temporarily suspended with effect from 7.30am on 1st October 2026.

The Issuer will promptly apply for the listing of each of the Main Market Bonds to be reinstated once the 2026 Financial Statements have been published.
